Terms of Service

1. Acceptance and Scope

These Terms govern your access to and use of Tubagen.ai and related services operated by Tuba Intelligence Limited. By accessing or using the service, you agree to these Terms and our Privacy Policy.

2. Accounts, Workspace Roles, and Security

Account Responsibility

You are responsible for safeguarding credentials and for activities performed through your account.

Eligibility and Accurate Information

By using Tubagen, you represent that you have legal capacity to enter these Terms, are not a minor in your jurisdiction, and will provide accurate, current, and complete registration, billing, and workspace information.

Workspace Administration

Workspace owners and admins are responsible for member invitations, role assignments, access controls, and workspace-level policies.

Authorized Users

If you access Tubagen through an organization or workspace, your use may be managed by that workspace and subject to its internal policies.

3. Subscription, Billing, and Credits

Plans and Usage

Features and limits depend on your plan, including seats, workspaces, storage, AI generation quotas, workflow collaboration, task review, asset controls, and enterprise settings.

Fees and Renewals

Paid plans are billed according to your selected billing cycle. Unless otherwise stated, subscriptions renew automatically until canceled.

Trials, Promotions, and Cancellation

Trials, promotional credits, or beta allowances may be offered at our discretion and may have separate limits or expiration dates. Unless a separate written agreement says otherwise, cancellation takes effect at the end of the then-current paid term and does not retroactively cancel completed usage.

Refunds and Credits

Unless required by applicable law or expressly stated in a separate agreement, payments are non-refundable and unused credits, generation quota, or promotional allowances do not convert to cash. We may issue credits or refunds at our discretion when required to correct billing errors or service issues.

Taxes and Payment Processing

You are responsible for applicable taxes. Payments are processed through authorized payment processors subject to their terms.

Suspension for Non-Payment

We may suspend or limit service access for overdue invoices after reasonable notice.

4. Service Functionality and AI Processing

Tubagen integrates cloud and AI technologies to deliver features such as script planning, workflow canvas execution, image generation, video generation, image and video editing, speech, music, sound effects, composition, asset management, collaboration, and enterprise task review. Output quality and availability may vary based on model behavior and system conditions.

Model and Feature Availability

Model nodes, resolutions, generation limits, latency, pricing, and feature availability may change over time based on technical, safety, commercial, or legal constraints. We may modify, suspend, replace, or discontinue models, nodes, or features where needed.

AI Output Review

AI outputs may be inaccurate, incomplete, unexpected, similar to outputs generated for others, or unsuitable for a specific legal, brand, or production context. You are responsible for reviewing outputs, clearing rights, and confirming that your final use complies with applicable law and your internal policies.

5. Content Rights, Licenses, and Responsibility

Your Content

You retain ownership of original content you upload or create, including scripts, briefs, media, prompts, asset descriptions, review comments, and project materials, subject to the rights you grant us to host, process, and deliver the service.

Service License

You grant us a non-exclusive, limited license to use submitted content only as needed to operate, secure, and improve the service in accordance with these Terms and the Privacy Policy.

Likeness and Voice Permissions

You represent that you have all rights, consents, and lawful basis required for any person, face, voice, likeness, real-person asset, authorization material, or media included in your inputs and outputs.

Commercial Use

Paid plans may use generated outputs for commercial purposes subject to plan limitations, model and platform restrictions, and applicable law.

Third-Party and Reference Materials

If you upload, reference, or generate content based on third-party works, brands, people, music, audio, images, video, scripts, or other materials, you are responsible for ensuring that you have the rights and permissions needed for your intended use.

6. Acceptable Use and Safety Restrictions

You may not use Tubagen to create, upload, or distribute:

  • Non-consensual deepfakes, impersonation fraud, or deceptive identity content.
  • Content that infringes intellectual property, privacy, publicity, or other legal rights.
  • Illegal, abusive, exploitative, sexually explicit, or violent content prohibited by applicable law or platform safety rules.
  • Malware, credential theft, unauthorized scraping, or attempts to disrupt, reverse engineer, or bypass security controls.

7. Compliance, Takedowns, and Enforcement

We may investigate suspected violations and take enforcement actions, including content removal, feature restrictions, account suspension, or termination. We may comply with lawful requests from courts or regulators.

8. Confidentiality and Data Protection

Each party agrees to protect confidential information disclosed in connection with the service. Data protection commitments are governed by our Privacy Policy and, where applicable, separate customer data processing terms.

9. Disclaimers

The service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, and any guarantee that AI outputs will be accurate, unique, lawful for every use, or accepted by any platform, reviewer, or regulator.

10. Limitation of Liability

To the maximum extent permitted by law, Tuba Intelligence and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, goodwill, or data arising from use of the service. Except where prohibited by law or a separate written agreement, our aggregate liability for all claims relating to the service is limited to the fees you paid to us for the service during the six (6) months before the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Tuba Intelligence and its affiliates from claims arising out of your content, your use of the service, or your violation of these Terms or applicable law.

12. Suspension, Termination, and Survival

You may stop using the service at any time. We may suspend or terminate access for material breaches, legal risks, or security concerns. Provisions that by nature should survive termination will remain in effect.

13. Changes to Service or Terms

We may update features, pricing, quota rules, model availability, documentation, or these Terms from time to time. We may also correct errors, inaccuracies, or omissions in the service or website. Material updates will be posted with an updated effective date where appropriate. Continued use after updates constitutes acceptance.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of Hong Kong courts unless otherwise required by applicable law.
